This article aims to analyze the procedure of the State in order to promoting the financing of research, development and innovation and intensive economic production (RD&I) through incentivized debentures established by Law no 12.431/2011, in view of the sector's development problems. The hypothesis of its effectiveness is considered, since this was the estimated objective when they were created. The methodology used is based on a descriptive and inductive perspective, incorporating a functionalist analysis of the instrument to evaluate its effectiveness in relation to public policies for innovation in Brazil, using descriptive bibliographic research and data collection. It is concluded that the incentivized debentures created by Law no 12.431/2011, despite having an adequate legal format for the development of RD&I in developing countries, lacked articulation with a public policy aimed at the sector that would support them, showing little effectiveness in the period analyzed.
